End User License Agreement

This page is the dedicated End User License Agreement (EULA) for Umbrella X. It contains the Apple App Store addendum and the core license grant, and is published as a standalone URL for the convenience of App Store reviewers and lawyers who want a dedicated EULA reference. The complete set of terms governing your use of the Service is in our Terms of Service, which this EULA incorporates by reference. In case of any inconsistency between the two, the Terms of Service prevail, except that the Apple App Store addendum below always governs the relationship between you, us, and Apple for downloads from the App Store.

This EULA is a binding agreement between you and UmbrellaX LLP, a limited liability partnership registered in the Republic of Kazakhstan under BIN 260440006927, with its registered office at Zheltoqsan St., 1-6, building 3, apt. 13, Oral, West Kazakhstan Region. We refer to UmbrellaX LLP as "Umbrella X", "we", "us", or "our", and to the Umbrella X messenger application in its iOS, Android, and any future desktop or web form as the "Application". We refer to you as "you".

1. License grant

Subject to your continued compliance with this EULA and the Terms of Service, Umbrella X grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to install and use the Application on devices you own or control, and to access the Umbrella X service through the Application for your own personal, non-commercial communication. All rights not expressly granted to you in this EULA are reserved by Umbrella X and its licensors. The Application is licensed, not sold, to you. You acquire no ownership interest in the Application, and Umbrella X and its licensors retain all right, title, and interest in and to the Application, including all intellectual property rights.

2. Restrictions

You agree that you will not, and will not permit anyone else to:

  1. Reverse engineer, decompile, or disassemble the Application, or otherwise attempt to derive the source code of the Application or any part of it, except to the extent that applicable law expressly permits such activity notwithstanding this restriction.
  2. Resell, rent, lease, loan, sublicense, distribute, or otherwise commercially exploit the Application or make it available to any third party.
  3. Redistribute, publish, or transmit the Application binaries or any part of the Application to any third party.
  4. Modify, adapt, translate, or create derivative works based on the Application, or merge the Application with any other software.
  5. Remove, obscure, or alter any proprietary notices, labels, or marks on or in the Application.
  6. Use the Application to build a competing product or service, or to copy any features, functions, or graphics of the Application.
  7. Circumvent, disable, or interfere with any security, authentication, rate limiting, content reporting, or other protective feature of the Application.
  8. Use the Application in any manner that violates applicable export control or sanctions laws, or the acceptable use rules set out in section 5 of our Terms of Service.

3. Apple App Store Addendum

This Section 3 applies only if you downloaded or use the Application from the Apple App Store. In the event of any inconsistency between this Section and the rest of this EULA, this Section governs with respect to the relationship between you, Umbrella X, and Apple Inc. ("Apple") concerning the Apple-distributed version of the Application.

  1. Agreement between you and Umbrella X. You acknowledge that this EULA is concluded between you and Umbrella X only, and not with Apple. Umbrella X, not Apple, is solely responsible for the Application and its content.
  2. Scope of license. The license granted to you for the Apple-distributed version of the Application is a non-transferable licence to use the Application on any Apple-branded products that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Application may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.
  3. Maintenance and support. Umbrella X is solely responsible for providing any maintenance and support services with respect to the Application, as specified in this EULA and the Terms of Service, or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application.
  4. Warranty. Umbrella X is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Umbrella X.
  5. Product claims. You and Umbrella X acknowledge that Umbrella X, not Apple, is responsible for addressing any claims by you or any third party relating to the Application or your possession and use of the Application, including but not limited to (i) product liability claims, (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection, privacy, or similar legislation.
  6. Intellectual property rights. In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Umbrella X, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim, to the extent required by this EULA.
  7. Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

  9. Third-party terms of agreement. You must comply with applicable third-party terms of agreement when using the Application, including the Apple Media Services Terms and Conditions and the App Store Terms of Service.
  10. Third-party beneficiary. You and Umbrella X acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

The complete Terms of Service governing your use of the Umbrella X service, including provisions on acceptable use, account responsibilities, user content, copyright and DMCA, disclaimer of warranties, limitation of liability, indemnification, governing law of the Republic of Kazakhstan, dispute resolution, and changes, are set out in our Terms of Service and are incorporated into this EULA by reference.
